A shareholders’ agreement between two parties, who may be corporate and/or individual shareholders.
In the drafting of such agreement, there are variation such as (not exhaustive):
- joint venture is a 50:50 joint venture between two corporate partieswith deadlocked provisions
- two party venture between two corporate parties with a majority shareholder and a minority shareholder, where both parties participate in the running of the joint venture company’s (JVC) business
- joint venture is a 50:50 venture between two parties, both of whom are individuals as opposed to corporate shareholders
